Seven agreements for US public company acquisitions with a deal value of $100 million or more were filed this past week.
On January 5, 2017, Gartner, Inc. agreed to acquire practice insight and technology company CEB Inc. in a cash-and-stock transaction valued at $2.6 billion at signing (or approximately $3.3 billion including approximately $700 million in net debt assumed).
On January 7, 2017, Mars, Incorporated agreed to acquire pet health care service provider VCA Inc. in an all-cash transaction valued at $9.1 billion, including $1.4 billion in debt assumed.
On January 7, 2017, UnitedHealth Group Incorporated agreed to acquire surgical facilities provider Surgical Care Affiliates, Inc. in a cash-and-stock exchange offer valued at $2.3 billion at signing.
On January 8, 2017, Takeda Pharmaceutical Company Limited agreed to acquire pharmaceutical company ARIAD Pharmaceuticals, Inc. in an all-cash tender offer valued at approximately $5.2 billion.
On January 9, 2017, Columbia Banking System, Inc. agreed to acquire bank holding company Pacific Continental Corporation in an all-stock transaction valued at approximately $644.1 million at signing.
On January 10, 2017, Integra LifeSciences Holdings Corporation agreed to acquire tissue regeneration company Derma Sciences, Inc. in an all-cash tender offer valued at approximately $204 million, not including the purchase price of any preferred stock acquired in the offer.
On January 10, 2017, Calamos Partners LLC agreed to acquire investment firm holding company Calamos Asset Management, Inc. in an all-cash tender offer valued at $169.4 million.
